Guy joined Novalex in 2018 after practising business law as chief legal officer (CLO) of major international corporations for over 20 years.
Attorney and strategic counsel, perfectly bilingual, Guy has an extensive management experience and a strong business acumen with a diversified experience in commercial and corporate law, together with an in-depth knowledge of corporate governance and regulatory matters. Strong business partner focused on results and success, he knows how to identify opportunities and evaluate commercial and legal risks in complex matters. Experienced team player in managing talent, Guy focuses on coaching and mentoring professionals.
His practice focuses on commercial and transactional law, notably operations of mergers and acquisitions, financing, franchising, together with corporate law and governance of boards of directors. He acts and advises on the drafting and negotiation of various commercial agreements, namely share or asset purchase or sales agreements, partnerships, franchising agreements, various procurement and distribution agreements, notably power purchase agreements. His practice also focuses on international legal consulting.
He recently developed an expertise in various energy projects, leading the business development function of such projects with various significant corporations notably in the renewable energy sector for over 10 years.
As a business partner of various entrepreneurs et as former officer, he advises clients on strategic legal and organisational matters relatively to their contractual and regulatory obligations together with the implementation of compliance systems for the management of risks.

ADVISED AND ACTED for Pieux Vistech inc. (Postech) and its affiliates, a Quebec-based leader in the field of thermal hot-dip galvanized screw piles, for residential and semi-commercial applications, both in Canada and in its introduction into the USA, with respect to corporate strategy and governance levels and a focus on transactional, commercial and distribution matters;
ADVISED AND ACTED for an important developer of solar energy projects, nationally and internationally, having developed a proprietary low angle solar panel technology at the corporate level (strategy and governance) and M&A, while acting in restructuring, diverse commercial and international contracts, and developing and selling projects;
ACTED as officer responsible for the corporate, legal, compliance, strategic and business development functions of Kruger Energy in North America. Kruger Energy specializes in the development and management of renewable energy power plants ranging from hydroelectric, wind and historically solar facilities to biomass cogeneration plants;
ACTED as the head negotiator of several major transactions and financings, including the acquisition of 23 hydroelectric facilities located in 6 American States;
ACTED in managing the acquisition of solar farm projects consisting of 150 MW (1st phase – $150M (USD)) in California together with the acquisition of a 22 MW ($50M (CDN)) hydroelectric facility in British-Columbia;
ACTED as officer leading the implementation and management of the legal and compliance services of Talvest Fund Management Inc., and acted as counsel to the President, Chief Operating Officer and other officers of Talvest for special and strategic projects as well as for commercial transactions and other matters related to mutual funds;
ACTED as business lawyer, actively participated in the creation and structuring of Quebecor’s subsidiary in the printing industry, acting as one of the key internal counsel relatively to acquisitions, legal affairs and environmental matters, evolving in a strong growth entrepreneurial environment.
