Marie-Ève is an associate in the Business Law Group. She works with corporate executives, legal departments, managers and investors. She works in the areas of corporate finance and mergers and acquisitions, but also advises her clients on the various stages of their business’ development. She acts from the structure to the implementation of a shareholders’ agreement, including the strategy and drafting of various commercial agreements, the accompaniment in critical negotiations of financing rounds or the conclusion of mergers and acquisitions transactions. She works particularly with businesses in the technology and service sectors.
Marie-Ève is particularly concerned about her contribution to the growth of her clients and the protection of their business. Her background in private practice, in-house counsel and in the management of a legal firm has made Marie-Ève a smart lawyer who understands the different perspectives of the parties involved in a case and who is concerned about the business interests of her clients, while avoiding unnecessary detours. In addition to providing legal advice, she ensures that the companies she serves develop skills, reflexes and best practices.
Marie-Ève joined Novalex after having co-managed Podlégal, a firm specialized in start-up and technology law. She was previously legal counsel for a company in the health sector and also practiced with a Montreal firm.

ADVISED a technology company in the field of artificial intelligence and drafted all the documentation for a SAFE financing adapted to Quebec law (simplified agreement for future acquisition of shares);
ADVISED a company in the security technology field and drafted and reviewed all legal documents for an investment round with accredited investors;
DRAFTED AND REVIEWED the terms and conditions for various technology companies in several industries to offer their “software as a service” (SaaS) to consumers as well as to other businesses and government agencies;
DRAFTED AND REVIEWED several shareholder agreements, stock option plans and convertible debt instruments for numerous clients;
DRAFTED AND REVIEWED several service, distribution and supply agreements;
ADVISED numerous businesses on their compliance with rules governing language laws, privacy rights and personal information;
ACTED as legal counsel to a Quebec-based technology company, working closely with the company’s in-house lawyers to review and draft contracts with their clients and suppliers, as well as to implement platforms and measures to assist their employees in reviewing their transactional contracts;
ADVISED several corporations and non-profit organizations to optimize their governance.
